Intellectual Property Rights

All content on our Store, including but not limited to text, images, logos, graphics, photographs, audio, videos, designs, and the compilation of all content (collectively, "Content"), is the property of Yuan Fine Jewelry or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited license for the sole purpose of using the merchandises and services. You may not copy, reproduce, distribute, modify, create derivative works of, or otherwise exploit any Content without our express written permission. The jewelry designs themselves are the intellectual property of Yuan Fine Jewelry and may be protected by design patents or other rights.

 

Product Information & Custom Orders

  • Accuracy: We strive to display the colors, images, and specifications of our jewelry as accurately as possible. However, we cannot guarantee that your monitor's display of any color will be accurate. The natural characteristics of gemstones (including color, clarity, and inclusions) and precious metals may cause variations from images shown.
  • Precious Metals & Gemstones: All product descriptions, including karat weight (e.g., 14k, 18k) and gemstone characteristics (e.g., carat weight, cut, color, clarity), are provided for informational purposes. Slight variations are inherent in natural materials.
  • Custom & Personalized Orders: Items that are custom-made, engraved, or personalized to your specifications are FINAL SALE and cannot be returned, refunded, or exchanged unless they arrive damaged or defective. You are responsible for verifying the accuracy of all customization details provided.

 

Purchase And Payment

  • Order Acceptance: We reserve the right to refuse or cancel any order for any reason at our sole discretion. We may require additional verification or information before accepting an order.
  • Pricing: We reserve the right to correct any pricing errors, even after an order has been placed. All prices are in Canadian dollars.
  • Payment: You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Store. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.

 

Prohibited Activities

You may not access or use the Store for any purpose other than that for which we make the merchandises and services available. Prohibited activities include, but are not limited to:

  • Systematically retrieving data or other content to create a collection or database.
  • Tricking, defrauding, or misleading us and other users.
  • Attempting to bypass any measures of the merchandises and services designed to prevent or restrict access.
  • Using the merchandises and services to compete with us or for any revenue-generating endeavor or commercial enterprise.
  • Using any information from the merchandises and services to harass, abuse, or harm another person.

 

User Generated Contributions

The Store may invite you to chat, contribute to, or participate in blogs, message boards, and other functionality where you may post reviews or other content ("Contributions"). Any Contribution you post must be non-confidential and non-proprietary. By posting a Contribution, you grant us an unlimited, royalty-free license to use, modify, and publicly display it. You are solely responsible for your Contributions and agree they will not be illegal, threatening, or infringe on any third-party rights.

 

Third-Party Websites and Content

The Store may contain links to other websites ("Third-Party Websites"). We are not responsible for the content, accuracy, or opinions expressed on such Third-Party Websites, and we do not investigate, monitor, or check them for accuracy or completeness.

 

Disclaimer of Warranties & Limitation of Liability

The Store is provided on an “AI-IS” and “AS-AVAILABLE” basis. You agree that your use of the merchandises and services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

To the fullest extent permitted by law, in no event shall Yuan Fine Jewelry, its directors, employees, or agents be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, arising out of or in connection with your use of the store, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to the merchandises and services or these legal terms shall not exceed the amount you have paid to us in the last six (6) months, or if greater, the amount of the specific product purchase giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (1) your use of the merchandises and services; (2) your breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; (4) your violation of the rights of a third party.

Governing Law and Jurisdiction

These Legal Terms and your use of the merchandises and services are governed by and construed in accordance with the laws of the Ontario, Canada without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the state and federal courts located in Ontario, Canada for the purpose of litigating all such disputes.

DISPUTE RESOLUTION

Informal Negotiations: Parties agree to attempt to resolve any dispute informally for at least 30 days before initiating arbitration.
Binding Arbitration: If the parties do not resolve their dispute through informal negotiations, the dispute will be finally and exclusively resolved by binding arbitration. The arbitration shall be conducted in Toronto, Canada.
